These Terms of Service (“Terms”) apply to your use of www.enterpriseresale.com (the “Site”) and to any purchase you make from us. The Site is operated by Enterprise Resale Solutions (“Enterprise Resale,” “we,” “us,” or “our”). By using the Site or placing an order, you agree to these Terms and to the policies they reference, including our Shipping policy, Refund policy, and Privacy policy. If you don’t agree, please don’t use the Site.
1. Who can buy
You must be at least the age of majority where you live to place an order. If you’re buying for a company, you confirm that you’re authorized to do so. You agree to give us accurate, complete information and keep it up to date.
2. Our products
We sell new, open-box, refurbished, and used business telephone equipment, including phones, phone system cards, modules, and parts. We describe each item’s condition as accurately as we can using the listing title, condition grade, notes, and photos. Cosmetic wear consistent with the listed condition isn’t a defect.
3. Compatibility and licensing
Business phone systems vary by model, software release, and configuration, so please confirm that an item works with your system before you buy. Unless a listing says otherwise, items don’t include software licenses, user or feature licenses, manufacturer registration, or manufacturer support. If you’re not sure, contact us before ordering and we’ll help however we can.
4. Brands and trademarks
Enterprise Resale is an independent reseller. Manufacturer and product names, such as Mitel, Avaya, Nortel, Toshiba, Polycom, and Cisco, are trademarks of their respective owners. Unless a listing says otherwise, we’re not affiliated with or endorsed by these manufacturers, and their warranties may not apply to items we sell. Every item is covered by our own 90-day warranty.
5. Prices, availability, and errors
All prices are in U.S. dollars and may change without notice. Many items are one of a kind or in limited supply, so availability isn’t guaranteed until your order ships. If an item turns out to be unavailable, or a listing contains an error in price, description, or availability, we may cancel the order and refund you in full. We may also limit order quantities.
6. Orders and payment
Placing an order is an offer to buy. We accept your order when we ship it. We may refuse or cancel any order, for example if we suspect fraud or can’t verify payment, and we’ll refund any amount charged. Payment and any applicable sales tax are collected at checkout.
7. Shipping, returns, and warranty
Shipping is covered by our Shipping policy. Returns, refunds, cancellations, and our 90-day warranty are covered by our Refund policy. Both are part of these Terms.
8. Disclaimer of warranties
Except for our 90-day warranty, and to the fullest extent permitted by law, the Site and all products are provided “as is” and “as available,” without any other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some states don’t allow these exclusions, so some of them may not apply to you.
9. Limitation of liability
To the fullest extent permitted by law, Enterprise Resale and its owners, employees, and suppliers won’t be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, phone system downtime, or lost data, arising from your use of the Site or any product, even if we were told such damages were possible. Our total liability for any claim related to a product or order is limited to the amount you paid for that product.
10. Indemnification
You agree to defend, indemnify, and hold harmless Enterprise Resale and its owners and employees from any claims, damages, and costs, including reasonable attorneys’ fees, arising from your breach of these Terms or your misuse of the Site or our products.
11. Using the Site
You agree not to use the Site for anything illegal or harmful, including trying to break into or disrupt the Site, uploading malicious code, scraping or bulk-copying content, submitting false information, or infringing anyone’s rights. The Site’s content, including text, photos, and design, belongs to us or our licensors and may not be copied without permission.
12. Third-party links and services
The Site may link to or rely on third-party services, such as payment providers and shipping carriers. We’re not responsible for third-party websites or services, and their own terms and privacy policies apply.
13. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in San Diego County, California, and you and we consent to their jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted, and the “Last updated” date will change. The Terms in effect when you place an order apply to that order.
15. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision isn’t a waiver of it. These Terms and the policies they reference are the entire agreement between you and us about the Site and your purchases.
